Expectations of the Senior Business Attorney: The primary responsibility of a Senior Business Attorney in our Firm is to provide a wide range of business and corporate legal services to our clients. The Senior Business Attorney works under the general direction of the Owner and has broad discretion regarding control of matters assigned to them. Also, they will be involved with day-to-day management of client projects, allowing the Owner of the Firm to focus on strategic planning, marketing, and sales to drive Firm growth.
Key Responsibilities:
- Drafting, reviewing, and revising business organizational documents, including operating agreements, shareholder agreements, bylaws, stock plans, consents, resolutions, and corporate minutes
- Drafting, reviewing, and revising a wide range of commercial contracts
- Conducting and managing business deals, including asset purchase transactions, stock purchase transactions, commercial loan closings, private equity investments, etc.
- Develop legal strategies and advise clients regarding their best legal interests, serving as the principal contact between the Firm and the clients
- Oversee, counsel, guide, train, and mentor other attorneys and paralegals, including assigning work and tracking work product
- Help with marketing, networking by attending functions, writing articles, and speaking engagements
- Develop new clients for the Firm
Skills & Qualifications Required:
- 3+ years business/corporate law experience, with an excellent working knowledge of corporate and LLC law statutes, case law, and documents
- License to practice law in good standing in North Carolina
- Excellent academic credentials
- Outstanding references
- Strong legal reasoning, writing, oral communication, and research skills
- Business sense and ability to think strategically

Preferred Experience:
· Healthcare
- Working knowledge of HIPAA and related state and federal healthcare laws and documents
- Experience representing physicians, healthcare startups, dietary supplement companies, medical/surgical device companies, medical management companies, and life science technology companies
· Software and Technology
- Representation of software companies and familiarity with software agreements, mobile app developers, SaaS providers, and technology consultants
